Chapter 7 - The Mechanics of Clause 7

The boardroom descended into an uproar of furious shouting as the corporate directors openly denounced the three conspirators on the dais.
Arthur scrambled to his feet, slamming his hands onto the granite table, trying desperately to rally his shattered authority.
“It doesn't matter what you recorded on that phone, Ethan!” Arthur screamed, pointing a trembling, manicured finger at the signed parchment.
“I just signed the master power of attorney! Under Massachusetts corporate law, I hold ninety percent of the voting shares of this company!”
“I am the legal chairman of Thorne Technologies, and I order security to clear this room immediately!”
Ethan let out a low, mocking laugh that silenced the entire chamber with its absolute, chilling confidence.
He motioned to Claire Montgomery, who stepped up to the podium holding a certified legal addendum stamped with the golden seal of the Supreme Judicial Court.
“You didn't read the revised metadata layer of Clause 7, Arthur,” Claire announced in a dry, razor-sharp legal tone.
The central projection screen illuminated with the authenticated text of Clause 7, highlighting the sovereign debt assumption sub-clauses in glowing yellow.
“Under the terms of the document you just executed before thirty witnesses and federal cameras,” Claire explained, looking Arthur dead in the eyes:
“The signatory trustees do not inherit corporate voting equity; they assume personal, joint, and several liability for all outstanding corporate and shadow liabilities.”
“This includes the forty-two million dollars in illegal margin loans and uncollateralized gambling debts Arthur Thorne accrued with the European Moreau Syndicate in Cyprus.”
Arthur’s knees buckled beneath him, his spine slamming against the back of his executive chair as his vision swam in sheer terror.
“Furthermore,” Claire continued mercilessly, “Clause 7 contains an automatic, non-revocable reporting trigger to the United States Department of Justice.”
“By signing as corporate secretary, Cassandra Thorne has personally certified sixty-four fraudulent corporate credit card expenses totaling two point eight million dollars for private luxury goods.”
“And Beatrice Thorne has personally assumed legal culpability for twenty-eight counts of unlicensed chemical administration and domestic endangerment.”
Cassandra let out a blood-curdling shriek from the dais, clawing at her emerald silk blouse as she realized she had signed her own felony confession.
“Father, you told me this document was foolproof!” Cassandra wailed, thrashing against her chair.
“You told me I was going to be a billionaire today!”
Ethan stepped closer to the dais, looking down at his broken, trembling family with eyes colder than the bottom of the Atlantic Ocean.

“You wanted to steal my company, Father,” Ethan whispered softly.
“Instead, you just bought yourself forty years in a federal maximum-security penitentiary.”
