Chapter 3 - The Trap of Clause 7

At four-thirty in the morning, Ethan sat in the high-tech command trailer parked outside the Weston medical retreat.

Beside him, his lead forensic corporate attorney, Claire Montgomery, was reviewing the eighty-page master power of attorney document Arthur had drafted.

The glowing monitors cast a cold blue light across the stacks of financial ledgers, offshore banking manifests, and corporate registries.

“Arthur spent two hundred thousand dollars with a corrupt legal firm in Jersey City to construct this document, Ethan,” Claire explained, highlighting section seven in bright red.

“Clause 7 was designed to look like a standard corporate indemnity waiver protecting the holding group against foreign tech liabilities.”

“In reality, it is a predatory proxy transfer that immediately vests ninety percent of your personal voting equity into Arthur’s private management trust upon signature.”

Ethan zoomed in on the underlying legal terminology, a thin, lethal smile curving his lips in the dim trailer.

“Arthur believes he is the smartest shark in the ocean, Claire.”

“He forgot that I wrote the cybersecurity architecture for the Securities and Exchange Commission’s corporate fraud division.”

Ethan pulled a sleek titanium laptop toward him, opening the source files of the original corporate charter of Thorne Global Technologies.

“We are not going to reject the document, Claire; we are going to modify the metadata layer of Clause 7 before the nine AM signing.”

Claire leaned over his shoulder, her eyes widening in sheer, professional awe as Ethan altered the legal clauses with microscopic precision.

“What are you embedding into the proxy clause, Ethan?” Claire asked, a breathless grin breaking across her face.

“I am embedding the Sovereign Debt and Criminal Liability Assumption Protocol,” Ethan answered, typing rapidly into the encrypted terminal.

“The exact second Arthur, Beatrice, and Cassandra sign their names as governing proxy trustees under Clause 7, they legally assume personal, joint, and several liability for all outstanding liabilities of the firm.”

“And simultaneously, the document automatically triggers an irrevocable disclosure of all undeclared offshore accounts to the Department of Justice.”

“Arthur has forty million dollars in uncollateralized gambling debts and illegal margin loans with a European syndicate in Cyprus,” Claire noted, checking the forensic ledgers.

“By signing Clause 7, Arthur won't be inheriting my four-hundred-million-dollar tech empire,” Ethan whispered, his voice vibrating with absolute, terrifying finality.

“He will be legally transferring forty million dollars of mob debt and fifteen federal counts of corporate extortion directly onto his personal assets.”

He printed the modified eighty-page document on watermarked corporate parchment, binding it with a heavy crimson silk ribbon.

The trap was set, the bait was placed, and the wolves were about to walk willingly into their own slaughterhouse.
