Chapter 3 - CELESTE KNEW ABOUT VANESSA BEFORE I DID

I returned to the boardroom and placed my phone on the table.

“Celeste.”

She looked up.

“What?”

“What is Celeste Vale Holdings?”

Her face changed.

Not enough for anyone else.

Enough for me.

Graham turned.

“You have a holding company?”

“Of course I have investment entities.”

“Does one of them have an agreement to buy Adrian’s Valecrest shares?”

Silence.

Naomi looked sharply toward Celeste.

“Celeste?”

She lifted her chin.

“This has nothing to do with Claire.”

“That wasn’t the question,” I said.

Celeste stood.

“I’m not being interrogated by the woman my son just left.”

I almost smiled.

“Then answer Graham.”

The chairman did not smile.

“Sit down.”

Celeste sat.

That was when I realized the family balance had already changed.

For years, everyone deferred to her because she was founder Richard Vale’s widow.

But Valecrest was no longer a family dining room.

It had investors.

Debt covenants.

Independent directors.

Rules.

Naomi pulled corporate records.

Celeste Vale Holdings had been formed eight months earlier.

Two months before I discovered the first Meridian payment.

Manager:

Celeste Vale.

Minority economic participant:

Vanessa Hart.

My pulse slowed.

“You’re partners.”

Celeste said nothing.

Adrian’s mother had a financial arrangement with his mistress.

The affair suddenly looked different.

“How long have you known?” I asked.

“Known what?”

“About Vanessa and Adrian.”

Her eyes hardened.

“Long enough.”

Mara, sitting quietly behind me as personal support, whispered:

“Oh my God.”

I kept looking at Celeste.

“You knew your son was having an affair while planning our wedding.”

“Your relationship with Adrian was already failing.”

“That isn’t an answer.”

She snapped:

“You worked fourteen-hour days. You corrected him in meetings. Investors called you first. He was miserable.”

I stared at her.

“So you introduced him to Vanessa?”

Silence.

That was worse than yes.

“Celeste.”

“She met him at my charity foundation.”

I almost laughed.

Vanessa had always described their reunion as accidental.

She and Adrian dated briefly in college.

She disappeared after graduation.

Then, eleven years later, suddenly reappeared at a Vale Foundation dinner.

Not accidental.

Celeste had invited her.

“Why?”

“Because Adrian needed someone who believed in him.”

“I believed in him enough to save his company.”

“That was the problem.”

There it was.

Celeste looked genuinely angry.

“You never needed him.”

I sat back.

“He wanted a wife, Claire. Not another chairman.”

“I wasn’t chairman.”

“You might as well have been.”

Then Graham interrupted.

“Why is Vanessa an owner in your holding company?”

Celeste’s expression changed.

She could insult me all day.

Numbers were harder.

Her attorney finally spoke.

“Mrs. Vale should not answer further until we review potential conflicts.”

Good advice.

Too late.

Naomi had already found the funding source.

Celeste Vale Holdings had received $3 million from a private lender.

Collateral:

Expected proceeds from the planned purchase of Adrian’s Valecrest shares.

But the lender also had a secondary security interest.

Harbor Point participation rights.

The rights Adrian was currently being pressured to assign.

The entire structure fit together.

Vanessa got Harbor Point.

Celeste’s company got Adrian’s shares.

Adrian got what?

I asked exactly that.

Naomi scrolled.

Then stopped.

“There’s a consulting agreement.”

Five-year term.

Adrian Vale:

$2 million annually.

Adrian was selling control of his own company in exchange for ten million dollars and a prestigious title.

Then my phone rang again.

Lucas.

His voice shook.

“Claire, Adrian finally read the agreement.”

“And?”

“He asked Vanessa why his mother owns seventy percent of the buyer.”

I closed my eyes.

He hadn’t known.

Then Lucas said:

May you like

“Vanessa told him Celeste designed the whole structure.”

The mother who told everyone I controlled Adrian too much had secretly built a plan to control him after me.
