Chapter 12 - THE DAY VINCENT LOST HIS CHAIR

The board meeting lasted two hours.
Vincent arrived smiling.
That was his mistake.
He believed Dominic had called another family argument.
Then he saw Emily.
Thomas.
Sofia.
Marco.
Independent counsel.
Forensic auditors.
And two federal pension investigators.
His smile disappeared.
Dominic opened simply.
“Emily Carter’s termination is void.”
Vincent leaned back.
“I have no idea what you’re talking about.”
Dominic placed the forged letter on the table.
“Your legacy access account.”
Vincent glanced at Lombardi’s empty chair.
“Stephen handled HR matters.”
“Stephen is cooperating with investigators.”
That landed.
Lombardi had been found the previous evening.
Alive.
Terrified.
He admitted using Antonio’s legacy account under Vincent’s direction.
He also admitted burning the archive room.
His lawyer negotiated cooperation.
Vincent looked toward Sofia.
“You.”
She met his gaze.
“Yes.”
Then Dominic presented the codicil.
The Carter trust.
The original equity assignment.
Vincent’s veto termination clause.
For the first time, the old man looked genuinely afraid.
“This document is invalid.”
“Challenge it.”
Dominic slid it toward him.
“In court.”
Vincent’s anger sharpened.
“You would drag this family through public litigation?”
Dominic thought of Margaret’s letters.
Thomas’s seventeen years in hiding.
Emily losing her job.
Carlo’s funeral.
His father’s recorded regret.
“Yes.”
One word.
No performance.
Vincent stood.
“This company exists because men like your father made hard decisions.”
Dominic replied:
“No. It survived despite some of them.”
The independent directors voted.
Vincent’s veto status was suspended pending judicial review.
His chairman-emeritus privileges revoked.
Office access removed.
Board seat challenged under governance provisions.
No punches.
No guns.
No dramatic threat.
Just the sound Vincent feared most.
Votes without him.
Then investigators asked him to remain for questioning regarding pension diversions.
He refused without counsel.
His right.
Dominic allowed it.
Truth did not require abandoning procedure.
Afterward, Emily stood alone in the boardroom.
Dominic approached.
“You have decisions.”
“I hate decisions.”
“You came to the wrong building.”
She almost smiled.
Her trust interest was enormous.
Her reinstatement available.
Potential board seat.
Back pay.
Damages.
Everything.
“What do you want?” Dominic asked.
Emily looked through the glass at Manhattan.
“I want my job back.”
He blinked.
“That’s all?”
“No.”
Good.
“I want an independent audit of every employee pension account touched by Carter Asset Management.”
“Yes.”
“I want repayment where necessary.”
“Yes.”
“I want my mother’s letters copied and archived outside your family.”
“Yes.”
“I want Lily’s name nowhere in corporate documents unless legally required.”
“Yes.”
“And I don’t want a board seat because you feel guilty.”
Dominic looked at her.
“I wasn’t going to offer one because I feel guilty.”
“Why?”
“Because you found nineteen million dollars my executives missed.”
That stopped her.
He continued.
“If you ever take a board seat, take it because you’re qualified.”
Emily’s eyes softened.
Then Thomas entered.
He had heard enough.
“Emily.”
She turned.
“I’m not ready.”
“I know.”
He handed her something.
A small envelope.
“Your mother wrote this for me before she died.”
Emily stared.
“You had it?”
“No. Margaret mailed it to Montreal after Sarah died.”
“Why give it now?”
“Because I spent seventeen years reading it instead of obeying it.”
Emily opened it.
Sarah had written:
Thomas, come home.
Whatever you think you are protecting Emily from, she will grow up knowing you chose absence.
Fear is still a choice.
Emily closed her eyes.
Thomas whispered:
“She was right.”
Then Dominic’s phone rang.
Marco.
His voice was tight.
“We found something in Vincent’s old office.”
“What?”
“Carlo’s missing personnel file.”
“And?”
“Vincent kept profiles on every person connected to Thomas.”
“Why?”
“Leverage.”
Then Marco said:
“There’s one on Emily.”
Dominic’s stomach tightened.
“What does it say?”
Marco read the header.
CARTER, EMILY — CONTINGENCY RELATIONSHIP.

And beneath it:
